Terms of Service

Club Ralley LLC ("Club Ralley," "we," "our," or "us") operates the Club Ralley mobile application, our website, and related services (collectively, the "Services").

These Terms of Service ("Terms") are a legal agreement between you and Club Ralley that governs your access to and use of the Services. Please read them carefully.

By creating an account, or by accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years old to use Club Ralley. If you are under the age of majority in the place where you live, you may use the Services only with the involvement and consent of a parent or legal guardian who agrees to these Terms on your behalf.

By using the Services, you represent that you meet these requirements, that the information you provide is accurate, and that you are able to enter into a binding agreement.

2. Your Account

To use most features, you need to create an account. You agree to provide accurate information, keep it up to date, and keep your login credentials secure.

You are responsible for all activity that happens under your account. If you believe your account has been accessed without your permission, contact us promptly at the email address in Section 17.

You may not share your account, create an account for anyone else without permission, or maintain more than one account in a way intended to mislead other users. We may refuse, suspend, or limit accounts to protect the Services and our community.

3. The Services

Club Ralley is a platform designed to help athletes discover communities, connect with other athletes, organize and participate in sporting activities (which we call Ralleys), join clubs and communities, and build relationships through shared athletic interests.

Ralleys, events, clubs, and communities are created and hosted by users, organizers, and clubs, not by Club Ralley. We provide the platform that helps people find and connect with one another. We do not organize, run, supervise, or control these activities, and we do not independently verify the information that users provide about themselves, including athletic background or skill level.

We may add, change, or remove features of the Services at any time.

4. User Content

The Services let you create and share content, including profile information, photos, videos, posts, comments, athletic updates, event information, and direct messages to other users. You retain ownership of the content you submit.

By submitting content through Club Ralley, you grant Club Ralley a non-exclusive, worldwide, royalty-free license to host, store, display, reproduce, and distribute that content solely as necessary to operate, improve, and promote the Services.

You represent that you own or have the rights to the content you submit, and that your content does not violate any law or the rights of any other person. You are responsible for the content you post. We may remove or restrict content that we reasonably believe violates these Terms, and we may do so without notice.

5. Acceptable Use

When you use Club Ralley, you agree not to:

• Harass, bully, threaten, intimidate, or harm another person
• Post content that is unlawful, hateful, discriminatory, harassing, defamatory, obscene, or sexually explicit, or that infringes anyone's rights
• Impersonate any person or organization, or misrepresent your identity, age, or affiliation
• Send spam, chain messages, or unsolicited promotions, or use the Services to advertise without our permission
• Collect, harvest, or store other users' information, or use it for any purpose other than the Services
• Use bots, scrapers, or other automated means to access or copy the Services
• Interfere with, disrupt, probe, or attempt to gain unauthorized access to the Services or their systems
• Circumvent, disable, or interfere with safety, security, or reporting features
• Use the Services for any unlawful purpose or in violation of these Terms

You can report content or behavior that violates these Terms using the reporting tools in the app or by contacting us. We may investigate and take action, including removing content or suspending accounts.

6. Ralleys, Events, and Interactions With Others

Club Ralley helps you find and connect with other people, but your interactions with them are your responsibility. We are not a party to, and do not control, the Ralleys, events, or interactions that users arrange through the Services, and we do not guarantee that any user is who they claim to be.

Use good judgment and caution when communicating with people you do not know, sharing information, meeting others in person, or attending events. You are solely responsible for your interactions with other users.

Athletic and sporting activities carry inherent risks, including the risk of physical injury. You participate in any activity arranged through the Services at your own risk. You are responsible for assessing your own health, fitness, and ability to participate safely, and for evaluating the safety of any venue, activity, or other participant. Consider consulting a physician before beginning any new physical activity.

To the fullest extent permitted by law, you release Club Ralley and the people who work for it from any claims, demands, or damages arising out of your participation in activities arranged through the Services or your interactions with other users, whether online or in person.

7. Payments, Subscriptions, and Event Registrations

Some features of the Services require payment. Club Ralley supports two kinds of paid transactions:

• Club subscriptions: recurring membership fees that a club or organizer pays to Club Ralley. These are billed by Club Ralley.
• Event registrations: one-time fees to join a paid Ralley or event. For events hosted by a club or organizer, Club Ralley collects the payment on the host's behalf, retains a service fee of 10% of the ticket price, and passes the remainder to the host. For events hosted by Club Ralley itself, the full ticket price is paid to Club Ralley.

Payments are processed by our third-party payment provider, Stripe, and by making a payment you also agree to Stripe's terms. You authorize us and Stripe to charge your selected payment method for the amounts shown at the time of purchase, including applicable taxes. Club Ralley does not receive or store your full payment card number.

Paid events have a minimum ticket price of $5.00. Hosts who charge for events must complete Stripe's onboarding and verification before they can receive payouts; payouts are made by Stripe to the host's bank account on Stripe's schedule. Hosts are responsible for any taxes on amounts they receive.

Event registration refunds. If you cancel your registration for a paid event, the refund depends on when you cancel relative to the event's scheduled start time:

• Three or more days before the start: full refund.
• Between 24 hours and three days before the start: 50% refund.
• Within 24 hours of the start: no refund.
• If the host cancels the event: full refund, regardless of timing.

Refunds are returned to the original payment method and typically appear within 5 to 10 business days, depending on your bank. The applicable refund is shown in the app before you confirm a cancellation.

Subscriptions renew automatically for successive billing periods until you cancel. You can cancel a subscription through the app or your account settings; cancellation takes effect at the end of the current billing period, and you will continue to have access until then. Except where required by law, subscription fees are non-refundable.

If you have a question about a charge, contact us at the email address in Section 17. We may change our prices and fees, and we will provide notice of changes as required.

8. Third-Party Services

The Services rely on, integrate with, and may link to services provided by third parties, such as Stripe for payments, Supabase for hosting and authentication, and mapping and geocoding providers. We are not responsible for third-party services, and your use of them may be governed by their own terms and privacy policies. Section 11 of our Privacy Policy describes the main providers that support the platform.

9. Intellectual Property

The Services, including the app, the website, our branding, logos, and the content we create (but not user content), are owned by Club Ralley and are protected by intellectual-property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use in accordance with these Terms. You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works from any part of the Services except as permitted by law.

"Club Ralley," "Ralley," and our related names and logos are trademarks of Club Ralley. You may not use them without our prior written permission.

10. Feedback

If you send us feedback, ideas, or suggestions about the Services, you agree that we may use them without any obligation or compensation to you.

11. Termination

You may stop using the Services at any time, and you can delete your account directly in the app under Profile, then Edit Profile, then Delete Account. Deleting your account is described further in our Privacy Policy.

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, if we are required to by law, or if we reasonably believe it is necessary to protect the Services, other users, or the public.

When your access ends, your right to use the Services ends. The parts of these Terms that by their nature should continue, including the content license to the extent needed to operate the Services, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

12. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that any content is accurate, or that any user, club, event, or activity is safe, lawful, or suitable for you. We do not verify the information users provide about themselves.

13. Limitation of Liability

To the fullest extent permitted by law, Club Ralley and the people who own, work for, or act on behalf of it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the Services, your interactions with other users, or your participation in any activity.

To the fullest extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Club Ralley and the people who work for or act on behalf of it from any claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising out of or related to your use of the Services, your content, your violation of these Terms, or your violation of any law or the rights of any other person.

15. Changes to the Services and These Terms

We may modify or discontinue parts of the Services, and we may update these Terms from time to time. If we make significant changes, we will provide notice as required by law, for example within the app or by other reasonable means. The updated version will include a revised “Last Updated” date.

By continuing to use the Services after changes take effect, you agree to the updated Terms. If you do not agree, you should stop using the Services and may delete your account.

16. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the state in which Club Ralley LLC is organized, without regard to its conflict-of-laws principles.

Before bringing any formal claim, you agree to first contact us at the email address in Section 17 and try in good faith to resolve the dispute informally. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the state where Club Ralley LLC is located, and you consent to the personal jurisdiction of those courts.
